Settlemate Money-Back and Performance Guarantee

Effective Date: May 2, 2026

This Money-Back and Performance Guarantee (the “Guarantee”) is offered by Settlemate, Inc. (“Settlemate,” “we,” “our,” or “us”) to qualifying subscribers and is incorporated into our Terms of Service by reference. Capitalized terms not defined here have the meanings given in the Terms of Service.

The Guarantee is a contractual commitment from Settlemate. It supplements — and does not replace — your statutory consumer rights or Apple’s and Google’s separate refund policies.

1. What the Guarantee Promises

If you are an eligible subscriber and you complete a qualifying 12-month period without receiving payouts equal to or exceeding the amount of the Guarantee, Settlemate will, on your request, facilitate a refund equal to:

the lesser of (a) thirty-five U.S. dollars ($35.00), or (b) the total subscription fees you paid to Settlemate during the qualifying period, minus the total payouts you received through Settlemate during that same period.

The Guarantee is capped at $35 regardless of which subscription plan you have or how much you paid. The cap exists because the Guarantee is designed to assure you that at least $35 of value will be recovered or refunded — not to refund the full cost of a monthly plan that, over 12 months, exceeds that amount.

In short: if Settlemate did not help you recover at least $35 of value during the qualifying period, we’ll make it right — through a platform refund where available, or through equivalent account credit or service extension that you choose. If you recovered $35 or more, the Guarantee does not apply because the Service already delivered at least the value of the Guarantee.

“Payouts received” includes any settlement payment, refund, rebate, price-adjustment credit, recovery, statement credit, gift card, or other tangible benefit you received as a result of using Settlemate during the qualifying period, regardless of whether the payout was disbursed by Settlemate directly, by a settlement administrator, by a merchant, by a financial institution, or by another third party.

How the Guarantee is fulfilled. Because Settlemate subscriptions are sold through the Apple App Store and Google Play, Settlemate does not directly process subscription payments and does not have unilateral authority to issue refunds for those charges. When you qualify for the Guarantee, Settlemate facilitates the refund through Apple or Google. If Apple or Google declines, Settlemate provides an equivalent alternative resolution that you select, as described in Section 3, Step 4 below.

2. Who Is Eligible

The Guarantee is available only to subscribers who meet all of the following requirements.

2.1 Subscription Requirement

You purchased a Settlemate subscription (either the annual plan or the monthly plan) through the Apple App Store or Google Play. The Guarantee does not apply to free trials, gift subscriptions, promotional plans, discounted introductory plans during the discount period, or subscriptions purchased through any third-party reseller or bundle.

2.2 Qualifying-Period Requirement

You completed a qualifying period of either:

  • (a) One full annual subscription term. You held an annual subscription continuously for the full 12-month term without canceling, downgrading, refunding, or charging back any portion of it before the end of the term; OR
  • (b) Twelve monthly subscription charges. You paid at least 12 monthly subscription charges to Settlemate at the standard monthly price (not the discounted introductory or promotional price). The 12 charges do not need to be consecutive — gaps between subscription periods are permitted — but they must all be for the same active Settlemate account, and they must occur within a single 36-month window measured from the first charge to the 12th charge. Charges that were refunded, charged back, reversed, or disputed do not count toward the 12.

The qualifying period for purposes of the refund formula is:

  • For annual subscribers: the 12-month term of the annual subscription;
  • For monthly subscribers: the period from the date of the first qualifying monthly charge through the date of the 12th qualifying monthly charge.

2.3 Account-in-Good-Standing Requirement

Throughout the qualifying period, your account must have been in good standing, meaning you did not:

  • Submit knowingly false, fraudulent, or duplicate claim information through Settlemate;
  • Violate the Acceptable Use provisions of our Terms of Service;
  • Initiate a chargeback or payment reversal on any subscription charge before requesting a Guarantee refund;
  • Have your account suspended or terminated by Settlemate for cause; or
  • Engage in any conduct that Settlemate reasonably determines was intended to manipulate or abuse the Guarantee.

2.4 Engagement Requirement

Throughout the qualifying period, you must have actively used the Service in a way that reasonably enabled Settlemate to identify recovery opportunities for you. At minimum, this means you:

  • Connected at least one email inbox to Settlemate or maintained at least one active Plaid-linked financial account;
  • Kept that connection active for at least 10 of the 12 months of the qualifying period (for annual subscribers) or for periods covering at least 10 of your 12 qualifying monthly charges (for monthly subscribers);
  • Reviewed and either approved or declined at least ten settlements, refund, rebate, or price-adjustment opportunity that Settlemate surfaced to you, where Settlemate surfaced at least one such opportunity during the qualifying period; and
  • Provided requested identity-verification, payout, or tax information when reasonably required to complete a recovery you authorized.

2.5 Timing Requirement

You must request the Guarantee refund within 30 days after the end of your qualifying period:

  • For annual subscribers: within 30 days after the end of the 12-month annual term;
  • For monthly subscribers: within 30 days after your 12th qualifying monthly charge.

Requests submitted before the qualifying period is complete, or more than 30 days after it ends, are not eligible.

2.6 Once-Per-Account Requirement

The Guarantee may be claimed only once per Settlemate account, regardless of how many qualifying periods you complete over the lifetime of the account. If you have previously received a Guarantee refund (or an alternative resolution under Section 3, Step 4), you are not eligible to claim the Guarantee again, even if you complete another qualifying period.

If you meet some but not all of these requirements, you may still be entitled to a partial refund under our standard Refund Policy or a refund directly from Apple or Google under their platform policies. We will assess your eligibility in good faith.

3. How to Request a Guarantee Refund

Step 1 — Contact Settlemate first. Email support@settlemate.io with subject line “Money-Back Guarantee Request.” Include:

  • Your account email address;
  • The qualifying period the request covers (start and end dates);
  • The platform you subscribed through (Apple App Store or Google Play);
  • Your subscription plan (annual or monthly);
  • Your understanding of payouts received through Settlemate during the qualifying period;
  • A brief description of how you used the Service during the qualifying period.

You do not need to provide receipts or documentation up front — Settlemate maintains subscription and payout records and will reconcile them.

Step 2 — Initial response. Settlemate will acknowledge your request within 2 business days and review your eligibility against the requirements in Section 2. We will respond substantively within 10 business days with a determination.

Step 3 — Refund facilitation. If you qualify for the Guarantee:

  • Apple App Store subscribers: Settlemate will submit a refund request to Apple on your behalf for the qualifying amount. Final refund authority rests with Apple under its policies. If Apple approves the refund, the refund will appear on the payment method you used to subscribe, generally within 5–10 business days of Apple’s approval.
  • Google Play subscribers: Settlemate will submit a refund request to Google on your behalf for the qualifying amount. Final refund authority rests with Google under its policies. If Google approves the refund, the refund will appear on the payment method you used to subscribe, generally within 3–5 business days of Google’s approval.

Step 4 — If Apple or Google declines. If Apple or Google declines the refund despite your meeting the Guarantee requirements, Settlemate will provide an alternative resolution that you choose from the following two options:

  • (a) Account credit equal to the Guarantee amount. Settlemate will apply credit equal to the calculated Guarantee amount (up to $35) toward your next Settlemate subscription charges. The credit reduces or eliminates future monthly or annual charges until exhausted.
  • (b) Free annual subscription extension. Settlemate will extend your current subscription by one full year at no charge, regardless of your current plan. For monthly subscribers, this pauses monthly charges for 12 months. For annual subscribers, this delays your next renewal charge by 12 months.

You may select either option by replying to our determination email with your choice. We will apply your selection within 5 business days of your reply and confirm in writing.

You retain the right to pursue Apple’s or Google’s direct refund process independently under their own platform policies and your statutory consumer rights at any time. The alternative resolution described above is Settlemate’s contractual remedy under this Guarantee and does not replace or limit those independent platform and statutory rights.

The alternative resolution counts as Settlemate’s fulfillment of the Guarantee for the relevant qualifying period under Section 2.6 (once-per-account-lifetime limit).

4. Appeals

If you disagree with our initial determination, you may request a single appeal within 30 days of receiving the determination. Email support@settlemate.io with subject line “Money-Back Guarantee Appeal” and a brief explanation of why you believe the determination was incorrect.

Appeals are reviewed by a Settlemate team member who was not involved in the original determination. We will respond to appeals within 14 business days. The appeal determination is final under this Guarantee, though it does not limit any rights you have under applicable law or under Apple’s or Google’s separate appeal processes.

5. What the Guarantee Does Not Cover

The Guarantee is a contractual offer with defined scope. It does not apply to, and is not a refund of:

  • Success-based fees. Success-based fees Settlemate charged (for example, on a recovered price-adjustment refund) are tied to actual recoveries you received and are governed by the specific terms disclosed when you opted in. Success-based fees are not refundable under this Guarantee.
  • Apple’s or Google’s standard refund processes. You retain the right to request a refund directly from Apple or Google under their respective refund policies at any time, independent of this Guarantee. The Guarantee does not waive or limit those platform rights.
  • Chargebacks and statutory rights. This Guarantee does not waive any chargeback rights, ACH dispute rights, or non-waivable consumer-protection rights you have under applicable law, including under the federal Restore Online Shoppers’ Confidence Act (15 U.S.C. §§ 8401–8405), the California Automatic Renewal Law (Bus. & Prof. Code §§ 17600 et seq.), the New York General Business Law § 527-a, the UK Consumer Rights Act 2015, the EU Consumer Rights Directive, the Australian Consumer Law, or the New Zealand Consumer Guarantees Act 1993.
  • Free trials, promotional periods, and discounted plans. Amounts you did not actually pay (free trials, promotional credits, gift codes, employee or partner free accounts) are not refundable under this Guarantee. The Guarantee covers only amounts you actually paid Settlemate during the qualifying period, subject to the $35 cap.
  • Third-party services. Recoveries you obtained outside of Settlemate, or services provided by third-party partners (such as partner offers, affiliate merchants, or third-party financial tools), are not refunded by this Guarantee.
  • Refunds already provided. Amounts that Apple, Google, Settlemate, a merchant, or any other party has already refunded to you for the qualifying period are not refundable again under this Guarantee.

6. Changes to This Guarantee

Settlemate may modify, suspend, or terminate the Guarantee at any time on a forward-looking basis by updating this document and posting the revised version with a new Effective Date. Material changes will be communicated by email or in-app notice at least 30 days before they take effect.

Changes to the Guarantee do not affect your right to claim the Guarantee under the version of these terms in effect at the time you began your qualifying period. If you began a qualifying period under the version of this Guarantee dated May 2, 2026, your claim is governed by that version, regardless of subsequent changes.

7. Honest Limits and Disclaimers

This Guarantee is a confidence commitment, not an income guarantee. Settlemate does not promise that you will recover any specific amount, that you will receive any particular settlement, or that any recovery opportunity exists for you. The Guarantee exists to give you confidence in trying Settlemate — if our Service does not deliver at least $35 of value to you during the qualifying period, you don’t pay for that portion.

Settlemate’s overall liability remains subject to the limits and disclaimers in our Terms of Service. The Guarantee does not expand Settlemate’s liability beyond the refund amounts described in Section 1.

8. Governing Law and Disputes

This Guarantee is governed by, and any dispute relating to it is resolved under, the Governing Law and Venue (Section 27) and Arbitration (Section 29) provisions of the Settlemate Terms of Service. Disputes under this Guarantee are subject to the same Delaware governing law, Delaware venue (with California fallback), informal dispute-resolution procedure, mass-arbitration architecture, and class-action waiver described in the Terms of Service.

9. Statutory Rights Preserved

Nothing in this Guarantee limits any non-waivable statutory right you have under applicable consumer-protection law. To the extent any provision of this Guarantee would be unenforceable as to a resident of a particular jurisdiction under that jurisdiction’s law, that provision is intended to be inapplicable to that resident only to the extent of the unenforceability and will remain enforceable as to all other users to the maximum extent permitted by law.
